Jeffrey A. Mitchell is a Partner in the real estate group. Mr. Mitchell's practice concentrates on providing full-service real estate and real estate financing in representing financial institutions, non-institutional lenders, real estate opportunity funds, investors, developers, owners and tenants in the business of real estate and real estate financing in the Mid-Atlantic region and in connection with national transactions.

Financing
Mr. Mitchell represents both lenders and borrowers in the entire range of debt and equity financing, including construction loans, term loans, secured and unsecured credit facilities, bridge financings, mezzanine loans, A/B loans, loan participations, securitized loan originations and mortgage securitizations, sale/leaseback transactions and project finance.
Representative Transactions:
Representation of institutional lender in connection with approximately $75,000,000 in mortgage and mezzanine loans for the purchase of approximately 70 retail out-parcels in 15 different states.
Representation of institutional lender in connection with an approximately $125,000,000 mortgage loan secured by a studio lot in Hollywood, California.
Representation of institutional lender in connection with approximately $80,000,000 in construction and mezzanine loans for the construction of a hotel in New York City, New York.
Representation of real estate developer in connection with an approximately $37,000,000 securitized loan and in connection with a subsequent loan defeasance coupled with an approximately $55,000,000 bridge loan for a retail shopping center in Waldorf, Maryland.
Acquisitions/Dispositions
Mr. Mitchell represents buyers and sellers in the purchase and sale of office buildings, shopping centers, multifamily residential properties, hotels and resorts, industrial sites and other commercial and retail properties, as well as purchases and sales of equity interests and other investments in joint ventures and other entities that own real estate.

Representation of real estate investment company in connection with a purchase and sale agreement for an approximately $75,000,000 sale of shopping center located in Fort Myers, Florida.
Representation of federal pension fund in connection with a purchase and sale agreement for the sale of a $65,000,000 office building located in Washington, DC.
Representation of family business in connection with a stock purchase and sale agreement for the sale of 100% of equity interests in a real estate company that owned a golf course located in Rockland, New York.
Representation of a county government in connection with the a purchase and sale agreement for an approximately $110,000,000 acquisition of low income housing located in Fairfax, Virginia.
Leasing
Mr. Mitchell represents owners and tenants in structuring, drafting and negotiating all manner of leases and subleases (and master leases), including ground leases and build-to-suits leases for office buildings, industrial facilities, corporate headquarters, shopping centers, restaurants, other retail leases and a variety of other commercial lease transactions and lease-backs.

Representation of an insurance company as a tenant in connection with its national headquarters lease in Sterling, Virginia and its call centers throughout the United States.
Representation of restaurant as a tenant in connection with its lease in the Ritz Carlton Hotel located in Washington, DC.
Representation of federal government pension fund as a landlord in connection with the leasing of its commercial office building located in Washington, DC.
Representation of national not-for-profit company as a tenant in connection with its government affairs offices located in Washington, DC.
Restructuring and Workouts
Mr. Mitchell represents both lenders and borrowers in connection with loan restructurings and workouts and reorganizations related to distressed debt on real estate.

Representation of real estate developer in connection with a forbearance agreement and loan restructuring of an approximately $50,000,000 mortgage loan refinance of a retail shopping center in Tampa, FL.
Representation of institutional lender in connection with an approximately $70,000,000 leasehold mortgage loan restructure for a single tenant property tenanted by the U.S. Government in Washington, DC.
Joint Ventures
Mr. Mitchell works closely with developers, owners and equity partners to facilitate the acquisition, development and financing of real property through joint venture relationships, including creating and structuring the form of joint venture through general and limited partnership agreements and limited liability company agreements.
Representative Transactions:
Representation of national union pension fund in connection with its joint venture with a Virginia real estate investment and property management company for the acquisition of the company's $350,000,000 real estate portfolio in Northern Virginia.
Representation of institutional investor in connection with its joint venture with a real estate developer for the development of high end residential condominium and retail complex in Georgetown, Washington, DC.
Representation of real estate investment and property management company in connection with its joint venture with an equity investor for the purchase and sale of the equity investor's partnership interests in the joint venture.
Public Private Partnerships
Mr. Mitchell represents both public and private entities in a wide array of public-private partnership matters, including the acquisition and development of real property, public and private financing of development projects and public-private joint ventures utilizing a variety of transaction structures, including general and limited partnership agreements, limited liability company agreements and ground leases.

Representation of a county government in connection with a ground lease and development agreement with a real estate developer for the construction of an underground garage to be connected to the Washington Metropolitan Area Transit Authority Metrorail extension to Dulles International airport and a related transit oriented mixed-use development in Northern Virginia.
Representation of a county government in connection with a public private partnership with a real estate developer for the construction of residential apartment building workforce housing on county property.
Representation of private equity fund in connection with the acquisition and privatization of Air Force military housing at Andrews Air Force Base and MacDill Air Force Base.
